AUTHORIZED RESELLER AGREEMENT

Crema Coffee Products (hereinafter referred to as “The Distributor”) is happy to welcome new Resellers (hereinafter referred to as “Reseller”). In order to insure our products are properly promoted and supported, The Distributor has developed this Authorized Reseller Agreement. The Distributor reserves the right to amend and modify this Agreement at any time.

RIGHTS AND OBLIGATIONS:

Reseller shall have the non-exclusive, non-transferable and revocable right to purchase, sell, market and promote the Crema Coffee Products product line and all related products (hereinafter referred to as “The Products”) purchased from The Distributor, subject to the Terms and Conditions of this Agreement.

INTELLECTUAL PROPERTY:

All intellectual property rights other than those expressly granted under this Agreement that relate to the The Products shall remain with The Distributor.

COMPETITION POLICY:

The Distributor is the sole developer and seller of all its Crema Coffee Products products and reserves the right to promote, market and sell The Products as it deems necessary.

BRANDED ADVERTISING NON-COMPETE:

The Distributor's primary business model relies heavily on Direct to Consumer (DTC) sales by means of branded keyword advertising, both online and offline. The Reseller agrees not to use, bid on or target The Distributor's direct branded keywords or trademarks in any online advertising including, but not limited to, Google, YouTube, Facebook and Instagram advertising, unless prior written approval has been obtained from The Distributor.

MANUFACTURERS SUGGESTED RETAIL PRICE (MSRP) POLICY:

The Distributor has established a Manufacturers Suggested Retail Price (MSRP) for The Products as set forth in the current Crema Coffee Products Price Lists and as promoted through the Crema Coffee Products website at www.cremacoffeeproducts.com. This MSRP policy applies to all forms of advertising including but not limited to mailings, catalogs, displays, consumer exhibitions, and any and all forms of advertising media, including but not limited to, the Internet and any other electronic networks. The Distributor reserves the right to terminate supply of The Products to any Seller advertising the The Products at a price lower than the listed MSRP. Seller understands the MSRP may be adjusted from time to time, and agrees to adjust their listed prices accordingly. This policy only concerns advertised prices, and does not relate to actual selling price.

SELLER OBLIGATIONS:

Unless otherwise agreed upon in writing and as approved by The Distributor, Reseller will be limited to sales of the The Product in their immediate place of business as described in their submitted Partner Application Form. Seller acknowledges that the The Product may not be sold through the following marketplaces: Amazon.com, eBay.com, Buy.com, Etsy.com, or any online marketplace not affiliated with seller’s immediate business.

TERM AND TERMINATION:

This Agreement shall remain in effect until otherwise terminated by The Distributor or Seller. The Distributor reserves the right to terminate this Agreement without prior notice if Seller is in violation of the Terms and Conditions as outlined in this contract.

GOVERNING LAW:

The Terms of this Agreement shall be governed under the laws of the state of Indiana.
